Proposed Constitutional Changes

It is proposed that two changes are made to the constitution as indicated, along with the reasons therefore:

This change is proposed in order to make it easier to get a quorum for ISOC-ZA General Meetings.

Current clause

16.     PROCEEDINGS AT GENERAL MEETINGS

	a.      Unless a general meeting determines that there
	shall be another quorum, a quorum for a general meetings
	shall be 10% of the members of ISOC-ZA or twenty-five
	members, whichever is the greater, which members shall be
	present in person, represented by an authorised representative
	or proxy or participating by video conference or such other
	electronic means which will allow participation in the
	discussion and/or voting which may take place at such
	general meeting, without any unreasonable delay.  The
	executive committee shall be entitled, in its sole discretion,
	to determine the reasonableness of any delay relating to
	the participation of any member or members by electronic
	means.

        present in person, represented by an authorised representative
        or proxy or participating by video conference or such other
        electronic means which will allow participation in the
        discussion and/or voting which may take place at such
        general meeting, without any unreasonable delay.  The
        executive committee shall be entitled, in its sole discretion,
        to determine the reasonableness of any delay relating to
        the participation of any member or members by electronic
        means.
The current committee has found it difficult in the past to operate the financial affairs of the organisation, as the treasurer (who generally has a full time job and other responsibilities) can not always be available to sign cheques timeously. In order to better meet the obligations ISOC-ZA can incur, the following change is proposed regarding the operating of the Bank Account.

30.     BANK ACCOUNT

The members of the executive committee shall be entitled to open
and operate a bank account on the basis that such bank account
shall only be operated upon the signature of two members of the
executive committee, one of whom shall be the treasurer.

The members of the executive committee shall be entitled to open
and operate a bank account on the basis that such bank account
shall only be operated upon the signature of at least two members of the
executive committee {rest of sentence deleted} .
